Make Your Company Dormant

Not trading right now doesn't mean you need to close the company — dormant status keeps it on the register with simpler filing obligations.

A company that isn't trading — no significant accounting transactions — can be made dormant instead of dissolved, which keeps the company name and registration reserved while cutting its filing obligations down to dormant accounts and a confirmation statement each year.

HTG Accountants notifies HMRC that the company is dormant for corporation tax, and files the simplified dormant accounts each year for as long as the company stays inactive.

The detail

What's included

One fixed fee, agreed before we start. No hourly billing and no surprise extras.

  • HMRC notified correctly that the company is dormant, stopping corporation tax return requirements while it stays inactive.
  • Dormant company accounts filed with Companies House each year — a much lighter filing than trading accounts.
  • The company name and registration kept reserved, in case you want to trade again later.
  • A clear flag if any transaction (even a bank fee) risks the company's dormant status.

How is this different from closing the company?

Dormant status keeps the company registered and its name reserved with lighter filing obligations. Closing (strike-off) removes the company from the register entirely.

Can a dormant company have a bank account?

It can, but any transaction through it beyond the minimum needed to keep the account open can affect dormant status — we'll flag this if it comes up.
